First of all convert the picture into a Symbol.
You can do this either by clicking Insert\convert to symbol
    OR by F8 (shortcut)

With the symbol selected, go to the effects panel (Windows\panels\effects)
Select Alpha to control the transparency.

To give the effect of Fade in...
add frames on the timeline, let's say 10.
Add a key frame at the 10th frame. Keep the alpha of the symbol 0% at the first key frame and 100% on the 10th key frame. Give the frames motion tweening by using the Frame Panel.
Do the opp for a Fade out.

For Myself, I make a Symbol, place it in a Frame, then click on a frame further along ( depends on How long I want it to take ). I click between the frames and add motion between. I then double click on the original frame, to get the Effects Menue. I chose Alpha, and put it at 0%. I them go to the second to last fram in the seqence ( not the last ) and click, then hit F6 ( Add Keyframe ).
To reverse the effect, add keyframes to each frrame in the line and highlight them all, and reverse frames, putting them where you want them later.

    just a note.

you should start the alpha at 1% (not 0%, and end it at 99%; not 100%).

you sometimes get a really quick jerk at the end of the animation if you use 100%.
