Fading Jpegs

I'm trying to make an animation by fading between two jpeg photographs.
I have one picture on the background and the second converted to a movie clip in front of it. I understand how to use motion tween but I can't find how to fade the jpeg out. I'm using Flash 8. Thanks for your help
