Or you can use motion tween.

Just change the alpha level between the key frames. Or change the tint color.

To make a simple fade, you can do one of these two ways:

    Using shape tweening:
Select the keyframe you wish to start your animation.
Make your rectangle w/ color and have the alpha at 100% (see mixer)
Then make a new keyframe where you want the animation to end. (F6)
Now select the new frame and change the alpha to 0%
    (see mixer again)
Once you have your two images.. at different alphas...
    select the frames,
    open windows>panels>frames or ctrl+f, and
    select shape tweening
The result should give a fade

    Using motion tweening:
Select your image, make it a symbol (any)
Then make a new keyframe where you want the animation to stop.
Goto windows>panels>effect or ctrl+f then press the effects tab
Select alpha and change it to whatever you want it to be.
Then motion tween the animation and it should fade.
(Remember both object have to be a symbol, not an ungrouped or
    grouped object)

    Hoped this helped!

...if I may add my 2 cents...

    (Good instructions, Ilarion!)
If file size is an issue for you (like for a website), I suggest you use motion tweening. Shape tweening uses more memory and CPU demand unnecessarily for the same effect (and at times, can be unreliable). Plus, using a symbol will save you memory right off the bat! If file size and CPU demand are not an issue in your project, then use whichever method you are more comfortable with.
