Matters. For coders, not in the least. For animators, heck yes. For designers, somewhat.

Didja forget about using Flash Player 10 features? That's a winner for me at least. Then there's the new helpers for working with AIR. (I don't specifically know off hand, but I've read that that area has been vastly improved.)

True, but the new F10 features can be used without necessarily buying CS4.
I downloaded the trial, and while a lot has changed, it seems to be mostly for animators, like Gerbick said. I'm sticking to CS3.

If you mean the IK tool you can get a plugin
at the great trickorscript site.
but I tend to believe that the adobe IK is better. No offense to the developers at trickorscript that made other great plugins

And you guys are right about being able to use FP10 features without buying CS4, but I know all around CS4 on a Mac has been vastly improved. The interface alone is a winner for me, I know that's picky, but coming from someone who HATES working in Flash (and does it all the fk'n time) that means a lot.

Just a little note. I was using Flash CS4 for months, then one day POOF, it stopped working. No bug fix, no explaination, no nothing from Adobe at all! Check their official Flash Forums. DW and PS had problems at launch too, but they put out patches. The Flash guys are just being lazy if you ask me! I would stay away from CS4 until they document some of the problems and fix them!
