Sorry I've no time for example. I'll explain an algorithm, at least the easiest way.

1. Lay dark movie clip (for example, solid black) over your image and set it's alpha to 15-20% at the beginning and to 0 on roll over. Fading in/out can be easily added if needed.

2. Place a movie clip with menu in a place you want to see it, set it's alpha to 0 and increase it to some greater value (50 or 100, decide it as you like) when movie clip with image is rolled over. When it's rolled out hide menu by setting it's alpha back to 0.
